Pronoia Performance, LLC – Payment & Subscription Terms
Effective Date: June 6 2025
These Payment & Subscription Terms (“Terms”) govern all purchases from Pronoia Performance, LLC (“PP,” “we,” “our,” or “us”) acting as administrative and billing agent for Mindful Medicine, PC (“MM”). By completing a purchase, you authorize the payment methods and recurring charges described below.

PP manages MM’s Stripe account; invoices list Mindful Medicine, PC as the provider and Pronoia Performance, LLC as the billing administrator to avoid confusion.

No enrollment or setup fee is charged.
Failed Payments & Late Fees
Automatic retries: Stripe will attempt up to three (3) automatic retries over seven (7) days.
Invoice link: Each failed charge triggers an email with a one-click payment link.
Service hold: Medication will not ship and refills will pause until payment clears.
Late fee: We reserve the right to assess a reasonable late fee (up to USD 25) on balances more than 15 days past due, but we do not routinely charge this fee.
Taxes & Surcharges
Prices are quoted in U.S. dollars and include any applicable sales tax.
PP does not impose card-processing surcharges.
Currency & Jurisdiction
We bill only in USD. Purchases are deemed made in Colorado and are governed by Colorado law.
Promotions & Discounts
From time to time we may offer promotional pricing (e.g., New-Year $500-off annual plan) or limited-time discounts. Promotional terms apply only to the specified period and may not be retroactively applied.
Price Changes
For Month-to-Month plans, PP will email any price change at least 15 days before it takes effect. Continuing to use the service after the notice period constitutes acceptance.
Refunds, Cancellations & Chargebacks
These Terms incorporate by reference our Refund & Cancellation Policy.
Filing a chargeback for a valid charge may result in a US $35 administrative fee.
Self-Pay Model
PP/MM are self-pay only. We do not submit claims to Medicare, Medicaid, or private insurers. You may use HSA/FSA funds if your plan allows, but reimbursement is your responsibility.
Updates to These Terms
We may update these Terms to reflect new laws, payment options, or business practices. Material changes will be emailed 15 days before they take effect. The “Effective Date” governs the latest version.
